My research seeks to understand how organizational and contextual factors—such as board size, environmental, social, and governance (ESG) performance—impact the success of acquisitions, especially in terms of whether announced deals are completed or abandoned.
My master’s thesis, published in Managerial and Decision Economics, investigated how the size of an acquiring firm’s board affects acquisition outcomes. Analyzing a sample of 775 cross-border deals, the study found that larger board sizes were generally associated with a lower likelihood of deal abandonment. This relationship was particularly evident in cases where the acquiring firm's home country had lower levels of formal institutional development, suggesting that institutional context moderates the board size-effect on deal completion. This work contributes to group decision-making theory and the institutional view of corporate governance in acquisitions.
As part of my PhD research, I explored the role of ESG performance in acquisitions. A part of my PhD, published in Business Research Quarterly, examined whether the social performance (SP) of multinational enterprises (MNEs) affects the likelihood of cross-border acquisition completion (CBAC). Using a sample of 578 cross-border acquisitions in the noncyclical consumer industry, the study demonstrated that higher SP positively influences CBAC likelihood, especially for large acquirers and public targets. This research enhances our understanding of how social reputation affects acquisition outcomes and is relevant to signaling and stakeholder theories in cross-border mergers and acquisitions (M&A).
In another part of my PhD, published in Review of Managerial Science, I investigated how corporate governance ratings influence acquisition success in European cross-border deals. Based on 1,246 acquisitions, this study found that acquirers with better corporate governance ratings experience higher rates of deal completion, particularly for large acquirers and public target deals. This study leverages agency theory to analyze how corporate governance ratings, provided by agencies like Sustainalytics, serve as signals that reduce perceived acquisition risks for stakeholders.
My research contributes to the fields of corporate governance, ESG, and international M&A by examining how these factors interact to influence acquisition success. These findings are relevant for scholars and practitioners seeking to understand the drivers behind acquisition outcomes and the role of ESG in shaping corporate decision-making and performance in cross-border contexts.
